James L. Barksdale, 61, is President and CEO of Barksdale Management Corporation. Mr. Barksdale served as a director of America Online, Inc. from March 1999 until its merger with Time Warner Inc. in January 2001, and has served as a director of the Company since that time. Mr. Barksdale has served as the President and CEO of Barksdale Management Corporation, a philanthropic investment company, since April 1999. Mr. Barksdale is also a General Partner of the Barksdale Group, a venture capital firm that he co-founded in April 1999. Prior to that, he served as the President and Chief Executive Officer of Netscape Communications Corporation, a provider of software, services and Website resources using the Internet, from January 1995 until its acquisition by America Online in March 1999 and also served as a director of Netscape starting in October 1994 until its acquisition by America Online. Mr. Barksdale is also a director of FedEx Corporation and Sun Microsystems, Inc. and is a Special Advisor to General Atlantic Partners, a private equity firm. Mr. Barksdale is an Independent Director.
 

Stephen F. Bollenbach, 61, is Co-Chairman and Chief Executive Officer of Hilton Hotels Corporation. Mr. Bollenbach served as a director of Time Warner Inc. from 1997 until its merger with America Online, Inc. in January 2001, and he has served as a director of the Company since that time. Mr. Bollenbach has served as Co-Chairman and Chief Executive Officer of Hilton Hotels Corporation since May 2004, having served as President and Chief Executive Officer from May 1996. Prior to that, Mr. Bollenbach was Senior Executive Vice President and Chief Financial Officer of The Walt Disney Company, an entertainment company, from April 1995 until February 1996. He is also a director of Caesars Entertainment, Inc. (Chairman), Catellus Development Corporation and Hilton Hotels Corporation. Mr. Bollenbach is an Independent Director.


Stephen M. Case, 45, is Co-Founder of America Online. Mr. Case served as Chairman of the Board and Chief Executive Officer of America Online, Inc. from 1995 until its merger with Time Warner Inc. in January 2001, and he served as Chairman of the Company from that time until May 2003. He was appointed Chief Executive Officer of America Online in April 1993 after serving in other executive positions at America Online since 1985. Mr. Case is an Affiliated Director.
 

Frank J. Caufield, 64, is Co-Founder of Kleiner Perkins Caufield & Byers. Mr. Caufield served as a director of America Online from 1991 until its merger with Time Warner Inc. in January 2001, and he has served as a director of the Company since that time. Mr. Caufield served as a General Partner of Kleiner Perkins Caufield & Byers, a venture capital partnership, from 1978 to 2000. Mr. Caufield is an Independent Director.
Robert C. Clark, 60, is Distinguished Service Professor of Harvard University. Mr. Clark became a director of the Company in January 2004. Mr. Clark has served as a Distinguished Service Professor of Harvard University since July 2003. Prior to that, Mr Clark served as the Dean and Royall Professor of Law of Harvard Law School from July 1989, having served as a Professor of Law prior to that. Mr. Clark is also a director of Collins & Aikman Corporation and Omnicom Group, Inc. and serves as a trustee of Teachers Insurance Annuity Association. Mr. Clark is an Independent Director.
 

Miles R. Gilburne, 53, is Managing Member of ZG Ventures, L.L.C. Mr. Gilburne served as a director of America Online from October 1999 until its merger with Time Warner Inc. in January 2001, and he has served as a director of the Company since that time. Mr. Gilburne has been a managing member of ZG Ventures, a venture capital and investment company, since 2000. He served as Senior Vice President, Corporate Development of America Online from February 1995 until December 1999. Mr. Gilburne is also a director of Pharmacyclics, Inc. and SRA, Inc. Mr. Gilburne is an Independent Director.
 

Carla A. Hills, 70, is Chairman and Chief Executive Officer of Hills & Company. Ambassador Hills served as a director of Time Warner Inc. from 1993 until its merger with America Online, Inc. in January 2001, and has served as a director of the Company since that time. Ambassador Hills became Chairman and Chief Executive Officer of Hills & Company, an international trade and investment consulting firm, in January 1993, having served as the United States Trade Representative from February 1989 to January 1993. Ambassador Hills is also a director of American International Group, Inc., ChevronTexaco Corporation and Lucent Technologies Inc. Ambassador Hills is an Independent Director.
 

Reuben Mark, 65, is Chairman and Chief Executive Officer of Colgate-Palmolive Company. Mr. Mark served as a director of Time Warner Inc. from 1993 until its merger with America Online, Inc. in January 2001, and he has served as a director of the Company since that time. Mr. Mark has served as the Chief Executive Officer of Colgate-Palmolive Company, a consumer products company, since May 1984. In May 1986, he was elected Chairman. Mr. Mark is also a director of Pearson plc. Mr. Mark is an Independent Director.
 

Michael A. Miles, 64, is Former Chairman of the Board and Chief Executive Officer of Philip Morris Companies Inc. Mr. Miles served as a director of Time Warner Inc. from 1995 until its merger with America Online, Inc. in January 2001, and he has served as a director of the Company since that time. Mr. Miles served as Chairman of the Board and Chief Executive Officer of Philip Morris Companies Inc. (now named Altria Group, Inc.), a consumer products company, from September 1991 until July 1994. He is also a director of AMR Corporation, Citadel Broadcasting Corporation, Dell Computer Corporation, Morgan Stanley & Co. and Sears, Roebuck and Co. and is a Special Limited Partner in Forstmann Little & Company. Mr. Miles is an Independent Director.
 

Kenneth J. Novack, 62, is Former Vice Chairman of the Company. Mr. Novack served as Vice Chairman of America Online from May 1998 until its merger with Time Warner Inc. in January 2001, and he then served as Vice Chairman of the Company through December 2003. Since that time, he has served as a director of the Company. He served as Of Counsel to the Boston-based law firm of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, PC after his retirement as a member of that firm in August 1998 through March 2001, and currently serves as Senior Counsel. Mr. Novack joined Mintz Levin in 1966 and served on its executive committee from 1970 until his retirement. Mr. Novack is an Affiliated Director.
 

Richard D. Parsons, 56, is Chairman of the Board and Chief Executive Officer of the Company. Mr. Parsons became director of Time Warner Inc. in January 1991 and then also became President of Time Warner in February 1995, positions he held until he became a director and Co-Chief Operating Officer of the Company at the time of the merger with America Online, Inc. Mr. Parsons became Chief Executive Officer of the Company in May 2002 and Chairman of the Board in May 2003. Prior to February 1995, Mr. Parsons served as the Chairman and Chief Executive Officer of The Dime Savings Bank of New York, FSB from January 1991. Mr. Parsons is currently also a director of Citigroup Inc. and Estee Lauder Companies, Inc. Mr. Parsons is an Affiliated Director.
 

**R. E.(Ted) Turner, 65, is Founder, Turner Broadcasting System, Inc. Mr. Turner served as Vice Chairman of Time Warner Inc. from October 1996 until the merger with America Online, Inc. in January 2001, and he then served as a Vice Chairman of the Company until May 2003. Since that time, he has served as a director of the Company. Prior to 1996, Mr. Turner served as Chairman of the Board and President of Turner Broadcasting System, Inc. from 1970. Francis T. Vincent, Jr., 66, is Chairman of Vincent Enterprises. Mr. Vincent served as a director of Time Warner Inc. from 1993 until its merger with America Online, Inc. in January 2001, and he has served as a director of the Company since that time. Mr. Vincent has been a private investor at Vincent Enterprises since January 1995. Prior to that, Mr. Vincent served as the Commissioner of Major League Baseball from September 1989 until September 1992. **R.E. (Ted) Turner is Chairman of the Board and President of Turner Broadcasting Systems (TBS). The Atlanta-based company is the leading supplier of entertainment and news programming for the cable television industry through its ownership of Cable News Network (CNN), CNN Headline News, CNN International, TBS Superstation, Turner Network Television (TNT), the Cartoon Network, SportSouth and TNT Latin America, which transmits programming simultaneously in three languages. Turner Broadcasting System also owns Turner Entertainment Corporation (TEC), which manages and markets a library of film and television properties, and the assets of Hanna-Barbera Productions.

In 1985, Ted Turner conceived the Goodwill Games, a quadrennial multi-sport international competition, in partnership with the former USSR. Currently, he is a member of the Board of Directors of the National Cable Television Association, the Martin Luther King Center for Nonviolent Change and the Greater Yellowstone Coalition. He is an active environmentalist and has received numerous civic and industry awards and honours, including being named Time Magazine's 1991 Man of the Year.
